PointsBet appoints three Mixi directors to board following takeover completion

PointsBet Holdings Limited has formally reconstituted its board following MIXI Australia’s successful takeover of the Australian sports betting operator.
The announcement confirmed that three new non-executive directors from the Japanese gaming company have joined the board as MIXI exercises control over its 66.43% shareholding.
New directors take control
The newly appointed directors are Sho Okuyama, Kanji Kobayashi, and Taishi Oba, all senior executives within MIXI or its related entities. Their appointments reflect MIXI’s strategy to seek board representation proportionate to its shareholding following the completion of the takeover bid.
Brett Paton will continue in his role as chairman, with Sam Swanell remaining as managing director on the board. The continuity of these leadership positions provides stability during the ownership transition.
Mass departure of existing directors
Five directors have departed the board with immediate effect following the takeover completion. The departing directors include Kosha Gada, William Grounds, Becky Harris, Peter McCluskey, and Tony Symons.
This board restructure represents the most substantial change to PointsBet’s governance since the company’s establishment, reflecting the new ownership reality under MIXI’s control.
Takeover battle conclusion
MIXI Australia, a wholly owned subsidiary of Tokyo-based MIXI, Inc., completed its off-market takeover bid on 12 September 2025. The final offer of AU$1.25 per share secured 66.43% voting power, up from 61.59% when the bid closed.
“MIXI Australia notes that having regard to all of the circumstances, including Betr’s status as a competitor of PointsBet, MIXI Australia intends to vote its majority shareholding against any resolution proposed at a general meeting of PointsBet to appoint or approve the appointment of any person affiliated with Betr as a director of PointsBet,” the company stated in regulatory filings.
The takeover followed months of competitive bidding with rival operator Betr Entertainment, which held a 19.9% stake but ultimately failed to secure control. MIXI’s board representation effectively blocks any future influence from competitors in PointsBet’s governance structure.
The successful acquisition marks MIXI’s entry into the Australian sports betting market and establishes PointsBet as a subsidiary of the Japanese gaming giant. The board changes signal the beginning of a new strategic direction under Japanese ownership.
