Lottomatica Group has appointed two new independent directors, Tiziana Togna and Fabrizio Virtuani, to its board on 5 September 2025. The appointments complete a governance restructuring process initiated following the resignation of four non-executive directors, including chairman Andrea Moneta, announced on 30 June.

The Italian gaming and lottery operator’s board of directors approved the co-optation of both directors as part of efforts to strengthen corporate governance following the boardroom upheaval. The appointments bring the total number of independent directors on the board to a majority, enhancing the company’s governance structure in line with regulatory requirements.

Alongside the new appointments, the board has reorganised its internal committees to accommodate the expanded membership. Augusta Iannini, an independent director already active on internal committees, has been appointed as a member of the Nominations and Remuneration Committee.

Tiziana Togna will join the Related Parties Committee, which has been expanded to four members, whilst Fabrizio Virtuani will become a member of the Control and Risk Committee, also expanded to four members. These changes aim to distribute oversight responsibilities more effectively across the board’s independent directors.

The governance restructuring follows earlier appointments made in July 2025, when the board co-opted Laurence Van Lancker and Alessandro Fiumara as executive directors. Van Lancker, who serves as the company’s chief financial officer, was simultaneously appointed deputy CEO with operational responsibilities to assist executive chairman Guglielmo Angelozzi.

Alessandro Fiumara, currently managing director of digital and betting operations, was also co-opted to the board as an executive director. The appointments were designed to ensure continuity in management and leadership following the departure of several board members.

The boardroom changes began after Andrea Moneta and three other non-executive directors resigned from their positions in late June 2025. The departures prompted the board to initiate a structured selection process in consultation with the nominations and remuneration committee and board of statutory auditors.

“The newly appointed directors will hold office until the next shareholders’ meeting that are currently expected to be held in April 2026, for the approval of the financial statements as of December 31, 2025,” the company stated in its announcement.

Lottomatica Group operates as one of Italy’s leading gaming and lottery companies, with interests across online and retail gaming, sports betting, and lottery operations. The company reported strong first quarter results in 2025, with revenue jumping 33% to €586 million compared to the previous year.

The completion of the board restructuring provides stability for the company’s governance structure whilst maintaining strategic focus during a period of market evolution. The increased number of independent directors aligns with corporate governance best practices and regulatory expectations for listed companies.

Lottomatica Group shares rose 0.7% to €22.44 following the announcement of the completed governance restructuring. The market response suggests investor confidence in the company’s ability to maintain operational continuity despite the boardroom changes.
